By accessing or using Azure, You agree to be bound by these terms. If You are entering into this agreement on behalf of a business or entity, You represent that You have the authority to bind such entity to these terms, in which case the terms "You" and "Customer" will refer to such entity.
1. Use of Services
You may use Azure solely for Your business purposes in accordance with this agreement and all applicable laws and regulations. You are responsible for Your account, Your content, and all activities conducted through Your account.
1.1 Acceptable Use Policy
You agree not to misuse the Services, including, without limitation, engaging in any activity that:
- Violates any applicable laws or regulations.
- Infringes on the intellectual property rights of others.
- Interferes with the operation of the Services or the networks connected to the Services.
- Attempts to gain unauthorized access to the Services or any other accounts, computer systems, or networks connected to the Services.
- Distributes malicious code or harmful data.
Microsoft reserves the right to monitor Your use of the Services to ensure compliance with these terms.
2. Intellectual Property
Microsoft retains all rights, title, and interest in and to the Services, including all related intellectual property rights. Nothing in this agreement grants You any right to use Microsoft's trademarks, service marks, or logos, except as expressly permitted by Microsoft.
2.1 Your Content
You retain ownership of Your content that You upload, store, or process using the Services. You grant Microsoft a worldwide, royalty-free license to use, reproduce, and transmit Your content as necessary to provide and maintain the Services.
3. Data Privacy and Security
Microsoft is committed to protecting Your data. Our Microsoft Privacy Statement and the Azure Trust Center provide detailed information about how We collect, use, and protect Your data. You are responsible for ensuring that Your use of the Services complies with applicable data privacy laws.
4. Payment Terms
You agree to pay all fees associated with Your use of Azure as described in the pricing terms provided by Microsoft. Fees are non-refundable unless otherwise stated. Microsoft may change its pricing terms, and such changes will be effective upon posting on the Azure website or notification to You.
5. Termination
This agreement will remain in effect until terminated by either You or Microsoft. You may terminate this agreement at any time by ceasing Your use of the Services and closing Your account. Microsoft may suspend or terminate Your access to the Services at any time, with or without notice, if You breach this agreement or for any other reason at Microsoft's discretion.
6. Disclaimers and Limitations of Liability
The Services are provided "as is" and "as available" without warranties of any kind, either express or implied. Microsoft disclaims all warranties, including, without limitation, implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
To the maximum extent permitted by law, Microsoft will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from Your access to or use of or inability to access or use the Services.
7. Governing Law
This agreement shall be governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of law principles.
8. Changes to Terms
Microsoft may modify these terms from time to time. We will post the updated terms on this page and update the "Last Updated" date. Your continued use of the Services after any such changes constitutes Your acceptance of the new terms.
