Microsoft Azure Legal Terms

Introduction

Welcome to Microsoft Azure. These legal terms ("Terms") govern your access to and use of the Microsoft Azure services, software, and websites (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not access or use the Services.

These Terms incorporate by reference the Microsoft Online Services Data Protection Addendum, the Acceptable Use Policy, and any other policies or addenda referenced herein or made available through the Services.

Key Terms and Definitions

"Microsoft" refers to Microsoft Corporation, its affiliates, and subsidiaries.

"You" or "Customer" refers to the individual or legal entity that is accessing or using the Services.

"Services" means the Microsoft Azure services, software, and websites as described at azure.microsoft.com and in the Service Specific Terms.

"Content" means any data, text, information, or other materials uploaded, posted, or processed through the Services by You.

Service Specific Terms

The Azure Services are subject to the specific terms and conditions outlined in the Service Specific Terms, which may include details on availability, data handling, and specific usage rights for individual services. It is your responsibility to review and understand these terms for each service you use.

Data Protection

Microsoft is committed to protecting your data. The Microsoft Online Services Data Protection Addendum (DPA) outlines our commitments regarding the processing and security of your Personal Data when you use the Services. You can review the full DPA here.

By using Azure, you acknowledge and agree that Microsoft may process your data in accordance with the DPA and applicable laws.

Acceptable Use Policy

Your use of the Azure Services must comply with our Acceptable Use Policy. This policy prohibits illegal activities, the distribution of harmful content, interference with the Services, and other prohibited uses. Violations may result in suspension or termination of your access to the Services.

Intellectual Property Rights

Microsoft retains all rights, title, and interest in and to the Services, including all intellectual property rights therein. You are granted a limited, non-exclusive, non-transferable license to use the Services solely for your business operations.

Disclaimers and Limitation of Liability

The Services are provided "as is" and "as available" without warranties of any kind, either express or implied. Microsoft disclaims all warranties, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Microsoft's total liability arising out of or related to these Terms or the Services will be limited to the amount you paid to Microsoft for the Services during the twelve (12) months preceding the event giving rise to the claim. In no event shall Microsoft be liable for any indirect, incidental, special, consequential, or punitive damages.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of laws principles. Any disputes arising under or in connection with these Terms shall be resolved exclusively in the state or federal courts located in King County, Washington.

Changes to These Terms

Microsoft reserves the right to modify these Terms at any time. We will notify you of significant changes by posting the revised Terms on this page or through other reasonable means. Your continued use of the Services after the effective date of the revised Terms constitutes your acceptance of the changes.
