These Microsoft Azure Terms of Use ("Terms") govern your access to and use of the Microsoft Azure cloud computing services, including the Azure platform, software, and related services (collectively, the "Services"). By accessing or using the Services, you agree to these Terms.
1. Acceptance of Terms
You agree to these Terms by accessing or using the Services. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms, and "you" will refer to that organization.
2. Use of Services
You may use the Services only for your business operations or your personal, non-commercial use. You must comply with all applicable laws and regulations. You agree not to:
- Use the Services to transmit any unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or hateful material.
- Interfere with or disrupt the Services or any servers or networks connected to the Services.
- Attempt to gain unauthorized access to any part of the Services or any other accounts, computer systems, or networks connected to the Services.
- Use the Services in a way that infringes on the intellectual property rights of others.
- Upload or transmit any material that contains viruses, trojan horses, worms, or any other contaminating or destructive features.
3. Intellectual Property
Microsoft retains all right, title, and interest in and to the Services, including all intellectual property rights therein. You are granted a limited, non-exclusive, non-transferable license to use the Services in accordance with these Terms.
4. Data Protection and Privacy
Microsoft is committed to protecting your data. Our Privacy Statement explains how we collect, process, and protect your personal data. The Azure Product Terms provide further details on data handling specific to the Services.
5. Billing and Payment
You agree to pay all fees associated with your use of the Services as set forth in your order or subscription agreement. Fees are non-refundable except as required by law or as expressly provided in your agreement.
6. Termination
We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. You may terminate your use of the Services at any time.
7. Disclaimers and Limitation of Liability
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. MICROSOFT DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. TO THE FULLEST EXTENT PERMITTED BY LAW, MICROSOFT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
IN NO EVENT SHALL MICROSOFT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; OR (C) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.
8. Governing Law
These Terms shall be governed by the laws of the State of Washington, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located within King County, Washington, for the resolution of any disputes arising under these Terms.
9. Changes to Terms
We may modify these Terms from time to time. We will post the most current version of the Terms on this page and update the "Effective Date." We will endeavor to notify you of any material changes. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.
