Microsoft Azure Legal Terms of Service

Effective Date: October 26, 2023

Welcome to Microsoft Azure. These terms of service ("Terms") govern your access to and use of the Microsoft Azure cloud computing services, including the software, APIs, SDKs, developer tools, and documentation provided by Microsoft Corporation and its affiliates (collectively, "Azure"). By accessing or using Azure, you agree to be bound by these Terms, the Online Services Terms, and the Microsoft Privacy Statement.

2.1 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify Microsoft immediately of any unauthorized use of your account.

You agree not to use the Services in a manner that violates any applicable laws or regulations, infringes on the intellectual property rights of others, or is harmful, deceptive, or illegal. Prohibited uses include, but are not limited to:

You are responsible for managing the resources you provision within Azure, including monitoring usage and ensuring compliance with any usage limits or quotas set forth in your Order or the documentation.

3. Data Ownership and Privacy

Microsoft does not claim ownership of Customer Data. You retain all intellectual property rights to your Customer Data. Microsoft will only access or use Customer Data as necessary to provide the Services to you, prevent or address service or technical issues, or as compelled by law.

4. Fees and Payment

You agree to pay all fees associated with the Services as set forth in your Order. Fees are non-refundable except as expressly provided in these Terms or as required by law. Microsoft reserves the right to change its prices for the Services at any time.

Important Note: Specific pricing and payment terms are detailed in your individual Order and may be subject to different terms depending on your region and chosen support plan.

5. Intellectual Property

Microsoft and its licensors own all right, title, and interest in and to the Services, including all related intellectual property rights. Nothing in these Terms grants you any right to use Microsoft's trademarks, logos, or other brand elements.

6. Termination

Either party may terminate these Terms for material breach if the other party fails to cure such breach within 30 days of written notice. Upon termination, you will lose access to the Services and your Customer Data may be deleted after a reasonable grace period, as described in the documentation.

7. Disclaimers and Limitation of Liability

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE". MICROSOFT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. TO THE FULLEST EXTENT PERMITTED BY LAW, MICROSOFT'S AGGREGATE LIABILITY TO YOU UNDER THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID TO MICROSOFT FOR THE SERVICES IN THE TWELVE MONTHS PRECEDING THE CLAIM.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of law principles. Any legal suit, action, or proceeding arising out of these Terms shall be instituted exclusively in the federal or state courts located in King County, Washington.

9. Changes to Terms

Microsoft may modify these Terms from time to time. We will post the modified Terms on this page and update the "Effective Date" at the top. We encourage you to review these Terms periodically.

By continuing to use Azure after any changes are made, you agree to the revised Terms.
