MSDN Developer Terms of Use

Welcome to the Microsoft Developer Network (MSDN) or its successors, including Visual Studio Subscriptions. These Terms of Use ("Terms") govern your access to and use of the MSDN services, content, software, and related documentation ("Services"). By accessing or using the Services, you agree to be bound by these Terms.

These Terms are effective as of the date you first access or use the Services and will continue in effect until terminated. Your use of the Services is also subject to our Privacy Statement and any other applicable terms and conditions.

License Grant

Subject to your compliance with these Terms and any applicable subscription agreement, Microsoft grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for the duration of your valid subscription or as otherwise permitted by Microsoft.

This license allows you to use the provided software, tools, and documentation solely for development, testing, and demonstration purposes related to applications you are developing. This does not grant you any rights to redistribute, sublicense, or commercially exploit the Services beyond the scope of your development activities.

Permitted Use

• You may use the Services to develop, test, and deploy applications.
• You may use the included software and documentation for learning and experimentation.
• You may display or reference portions of the documentation for internal use or in materials that describe how your application works with Microsoft products.
• You may utilize the Services to build applications that interact with Microsoft services and platforms, provided you comply with all relevant API terms and guidelines.

Restrictions

You agree not to:

• Reverse engineer, decompile, or disassemble any part of the Services, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation.
• Rent, lease, lend, sell, redistribute, or sublicense the Services.
• Use the Services in any manner that could damage, disable, overburden, or impair any Microsoft server or the network(s) connected to any Microsoft server.
• Use the Services to create applications that are competitive with Microsoft products or services.
• Remove any proprietary notices or labels on the Services.
• Share your subscription benefits with any third party outside of your authorized organization or team, as defined by your subscription type.

Intellectual Property

All intellectual property rights in the Services, including but not limited to copyrights, trademarks, and patents, are owned by Microsoft or its licensors. These Terms do not grant you any ownership rights in the Services.

You are responsible for ensuring that your use of the Services complies with all applicable intellectual property laws and regulations.

Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. MICROSOFT DOES NOT WARRANT THAT THE FUNCTIONS CONTAINED IN THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES OR THE SERVERS THAT MAKE THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

MICROSOFT SHALL NOT BE LIABLE FOR ANY DAMAGES WHATSOEVER ARISING OUT OF THE USE OR INABILITY TO USE THE SERVICES, EVEN IF MICROSOFT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of laws principles. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in King County, Washington.
