These Microsoft Azure Online Services Terms ("Terms") govern your access to and use of the Microsoft Azure services ("Services") provided by Microsoft Corporation and its affiliates. By accessing or using the Services, you agree to be bound by these Terms, including any terms, policies, or guidelines referenced herein.
These Terms form a legal agreement between you (either an individual or a legal entity) and Microsoft. If you are entering into these Terms on behalf of a legal entity, you represent that you have the authority to bind such entity to these Terms.
These Terms apply to all Microsoft Azure services, including but not limited to compute, storage, networking, databases, analytics, AI, and developer tools. These Terms are in addition to any other agreements that may apply between you and Microsoft, such as the Microsoft Online Services Terms of Service or specific product-level agreements.
Microsoft reserves the right to modify these Terms from time to time. We will notify you of any significant changes by posting the new Terms on this page and updating the "Last Updated" date. Your continued use of the Services after such modifications constitutes your acceptance of the new Terms.
Microsoft will use commercially reasonable efforts to make the Azure Services available. Microsoft may update, modify, or discontinue any of the Azure Services, or any features or functionality thereof, at any time.
You acknowledge that certain Services may be offered in preview or beta stages and may not be fully functional or may change significantly. Microsoft makes no representations or warranties with respect to preview or beta Services.
Microsoft is committed to protecting your data. Our Microsoft Privacy Statement explains how we collect, process, and use your personal data. The Azure Data Privacy Terms provide additional details regarding data processing within Azure Services.
You are responsible for complying with all applicable data protection laws and regulations concerning the data you process using the Services. You agree not to use the Services to process any sensitive personal information unless you have obtained all necessary consents and approvals.
Microsoft retains all rights, title, and interest in and to the Services, including all intellectual property rights therein. These Terms do not grant you any rights to Microsoft's intellectual property except as expressly provided herein.
You retain all rights, title, and interest in and to the content and data you upload to or process using the Services, subject to the terms of these Terms and applicable law.
Support for Azure Services is provided according to the Azure Support Plans. You may be eligible for different levels of support based on your subscription and service usage.
Microsoft will provide maintenance and updates for the Services. Some updates may be automatic, while others may require your action. Downtime for scheduled maintenance will typically be announced in advance.
You agree to use the Services in compliance with all applicable laws and regulations and these Terms. You shall not use the Services to:
Microsoft may monitor your use of the Services to ensure compliance with these Terms and applicable laws. Microsoft reserves the right to suspend or terminate your access to the Services if you violate these Terms.
You agree to pay all applicable fees for the Azure Services you use as set forth in your subscription agreement or as otherwise agreed upon with Microsoft. Fees are subject to change, and Microsoft will provide reasonable notice of any price increases.
Failure to pay fees may result in suspension or termination of your access to the Services. All fees are non-refundable unless otherwise stated in these Terms or applicable agreements.
You may terminate your use of the Services at any time by providing notice to Microsoft and ceasing your use of the Services. Microsoft may terminate these Terms or suspend your access to the Services at any time, with or without cause, upon notice to you.
Upon termination, you will lose access to the Services and any data associated with your account. Microsoft will retain your data for a limited period as specified in our data retention policies, after which it will be securely deleted.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL MICROSOFT, ITS AFFILIATES, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; OR (C) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.
MICROSOFT'S AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF FIFTY U.S. DOLLARS ($50.00) OR THE AMOUNT YOU PAID MICROSOFT FOR THE SERVICES IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
These Terms shall be governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of laws principles. The parties agree to the exclusive jurisdiction of the federal and state courts located in King County, Washington, for any disputes arising out of or relating to these Terms.
